a) Estimated at 529 29.355 Million

b) City of New York (City) to pay 520.7 221139 Million under MOA Paragraph 1400), as avoided capital costs of upgrading Yorktown Heights, Riverwoods, Baldwin Place and Random Farms under DEP's Regulatory Upgrade Program.

County to avply the review fee ($200.000) collected under (7) below towards the capital cost of the Project.

City and County to share funding balance of capital cost (difference between 5 9:a 29.355 MM and 339 22.239 MM) as follows. County to contribute $5 Million 13.658.000; City to contribute $3:3 3.658.000 Million.

If actual costs come in below $29 29.355 Million, or if additional funds from other sources are made available for the Project (e. federal or Statefunds) thereby reducing such balance, County and City to cover such reduced balance in a-Fatie of 5.3 to 4-on a 50/50 shared basis.

c) If actual and reasonable cost of Project exceeds 329 29,355 Million, County will bear the excess cost except for any portion thereof due to extraordinary, unforeseeable circumstances (e.g., material change in amount of subsurface rock to be excavated, beyond what could reasonably be anticipated), which the County and City will share on a 50/50 basis.

3 - No Growth Project: The Project is intended to divert sewage currently treated by the Diverted Facilities out of the New York City Watershed, not to facilitate additional growth Accordingly
