Dear Larry:
Further to our telephone conversation, PEP has now reviewed your proposed revisions to the draft Term Sheet which accompanied my letter of November 30, 2000.
We appreciate the time you have taken and the careful attention you have given in reviewing the draft Term Sheet, as well as the time and attention you have spent in numerous telephone conversations about the Project. We believe we can accommodate virtually all of the County's concerns in a way that preserves the basic terms we have discussed, and that will allow the Project to move forward.
Enclosed with this letter is a revised draft Term Sheet, ~..: . which has been blacklined to show the location of all changes we are now proposing. What follows is an explanation of why the changes are proposed and why we believe they represent a fair basis for moving ahead (references are to paragraph numbers in the revised draft Term Sheet).
