RYC-DEP Information For Bidders and Supply £ Service Agreement

. Upon written application ty the contractor, the Agency Chief Contracting Officer may
gTant an extension of time for performance of the contract. Said application must state, at a
minimum, in detail, each cause for delay, the date(s) the cause of the alleged delay occurred,
and the total number of delay in days attributable to such cause.
The ruling of the Agency Chief Contracting Officer shall be final and binding as to the
allowance of an extension and the number of days allowed.
ARTICLE 12 - COVENANTS OF THE CONTRACTOR
12.1 EMPLOYEES
All experts or consultants or employees of the Contractor who are employed by the
Contractor to perform work under this Agreement are neither employees of the City nor under
contract to the City and the Contractor alone is responsible for their work, direction,
compensation and personal conduct while engaged under this Agreement. Nothing im this
Agreement Shall impose any liability or duty on the City for the acts, omissions, abilities or
obligations of the Contractor or any person, firm, company, agency, association, corporation
Or organization engaged by the Contractor as expert, consultant, independent contractor,
Specialist, trainée, employee, servant, or agent or for taxes of any nature including but not
fimited to unemployment insurance, worker's compensation, disability benefits and social -
security, Or, except as specifically stated in this Agreement to any person, firm or corporation.
12.2 INDEPENDENT CONTRACTOR STATUS
The Comtractor and the Department agree that the Contractor is an independent
contractor, and not an employee of the Department of the City of New York, and that in
accordance with such status as independent contractor, the Contractor agrees that neither it nor
its employees or agents will hold themselves out as, nor claim to be, officers or employees of
the City of New York, or of any department, agency or unit thereof. by reason thereof and that
they will not, by reason hereof, make any ciaim, demand or application to or for any right or
privilege applicable to an officer of or employee of the City of New York including, but not
coverage or empiovee retirement membership or credit.
12.3 NETDENTIALITY
All of the reports, information or data, furnished to or prepared, assembled or used by
the Contractor under this Agreement are to be held confidential, and prior to publication, the
Contractor agrees that the same shall not be made available to any individual or organization
without the prior written approval of the Department.
The provisions of this Section shall remain im full force and effect following termination
of, or cessation of the services required by this Agreement.
12.4 MPLIANCE WITH LAW
Contractor shall render all services under this Agreement in accordance with the
applicable provision of Federal, State and local laws, ruies and regulations as are in effect at the
