NEW YORK CITY WATER BOARD

September 24, 1999

RESOLUTION

WHEREAS, pursuant to Section 11.1 of the Lease dated as of July 1, 1985, as

amended (the "Lease"), between the Board and The City of New York (the "City") relating to the

City's Water and Sewer System (the "System"), the City may not dispose of, or grant interests in,

real property included in the Leased Property (as such term is defined therein) without the written

consent of the Board; and

WHEREAS, the City has requested the Board's consent to the granting of an

casement (the "New Easement") over certain City-owned water supply lands described in

Schedule I annexed hereto, to the owner for the purpose of ingress to and egress from certain

lands; and

WHEREAS, the proposed New Easement would be granted pursuant to an

Easement Agreement (the "Easement Agreement") between the City and the owner, in

substantially the form of Exhibit A annexed hereto; and

WHEREAS, in consideration of the granting of the New Easement, the owner has

(x) agreed to surrender his rights to use two older easements crossing City-owned lands, and (y)

has also agreed to place certain permanent restrictions on his property, limiting the development thereof, pursuant to a Declaration of Protective Covenants in substantially the form of Exhibit B annexed hereto; and

WHEREAS, the Board has received certification of Metcalf & Eddy of New

York, Inc., Consulting Engineer, in accordance with Section 11.1(d)(i) of the Lease, with respect
