The Honorable Rudolph W. Giuliani it Mayor of the City of New York City Hall New York, NY 10007

Dear Rudy,

I have been focusing on what additional actions we could initiate as a corporate citizen to bring our city back to normalcy. Some of the recent news accounts have been disturbing in that several companies are re-assessing their commitment to being domiciled within New York City. In that light I have made an executive decision to move a two-day all branch managers meeting from the west-coast to Ncw York City. I believe it will send a powerful message to our 22,000 employees. The meeting will he held on November 5Th & 6th at the Waldorf. If there is any possible way that you could stop by on Monday evening the 5th to welcome the group (approximately 300 managers from throughout the U.S.) it would reinforce the intended message.

Respectful of your immense responsibility and schedule, I certainly will understand if you cannot accommodate this request. If you can be there however, I can assure you it will re-affirm UBS PaineWebber's commitment to New York City and the City's commitment to us.

W e regards,
