ARTICLE 25

APPLICABLE LAW

This License shall be governed by and construed in accordance with the internal laws of

the State of New York.

ARTICLE 26

LICENSE ENTIRE AGREEMENT

This License sets forth the entire agreement between the parties, superseding all prior

agreements and understandings, written or oral, and may not be altered or modified except by a

writing signed by both parties.

This License shall be binding upon the parties hereto, their successors, legal

representatives and assigns.
