Authority (if required bv the terms of the Underiving Leased be eligible, suitable and
qualified as a World Trade Center tenant.
Each subletting pursuant to this Article shall be subject to all of the
covenants, agreements, terms, provisions and conditions contained in this Lease.
Notwithstanding any such subletting to Landlord or any such subletting to any other
subtenant and/or acceptance of rent or additional rent bv Landlord from any subtenant.
Tenant shall and will remain fully liable for the pa^ of the fixed rent and additional rent
due and to become due hereunder and for the performance of all the covenants, agreements,
terms, provisions and conditions contained in this Lease on the part of Tenant to be
performed and all acts and omissions of any licensee or subtenant or anyone claiming under
or through any subtenant which shall be in violation of any of the obligations of this Lease,
and any such violation shall be deemed to be a violation bv Tenant.
Tenant further agrees that notwithstanding any such subletting, no other and further
subletting of the Demised Premises bv Tenant or any person claiming through or under
Tenant shall or will be made except upon compliance with and iurrra to the provisions of this
Article, If Landlord shall decline to give its consent to any proposed assignment or sublease.
Tenant shall '. defend and hold harmless Landlord against and from any and all
loss, liability, damages, costs and expenses (including reasonable counsel fees^ resulting from
any claims that mav be made against Landlord bv the proposed assignee or sublessee or bv
any brokers or other persons claiming a commission or similar compensation in connection
with the proposed assi[RiErent or sublease.

sublease to which Landlord consented within ninety (90) days after the giving of such consent.
