Typically, we and the Law Department exclude out from any indemnification we give any loss or liability attributable to the negligence or willful misconduct of the indemnitee (here, the State of New York). Please talk to Frank - he’ll give you the standard formulation — and then you’ll need to clear it with State SEMO and with Law (Larry Kahn). Please handle that.

It would help to get the indemnification that the State extended to FEMA for comparison purposes (I’ll bet the State tried in the same vein to exclude out any losses or liabilities attributable to FEMA).
