appointed Landlord its attorney-in-fact to execute and deliver any such certificate for

and on behalf of such subtenant.

32.9 Tenant shall reimburse Landlord within fifteen (15) days after demand,

as Additional Rent, for the amount of Landlord's reasonable costs and expenses that

Landlord may incur in reviewing or acting upon any proposed assignment or

subletting by Tenant except for any pursuant to Section 32.13 hereof.

32.10 Notwithstanding any assignment of this Lease or subletting of all or a

portion of the Demised Premises, or the consent of Landlord thereto, the Tenant

herein named, an d each immediate or remote successor in interest of the Tenant

herein named, shall remain liable, jointly and severally (with respect to Tenant, as

primary obligor), with its subtenant and all subsequent subtenants for the performance

of Tenant's obligations hereunder and, without limiting the generality of the

foregoing, shall remain fully and directly responsible and liable to Landlord for all

acts and omissions on the part of the subtenant in violation or breach of any of

Tenant's obligations under this Lease.

32.11 Tenant agrees that in connection with any assignment or subletting

hereunder, Tenant shall be solely responsible for any Alterations done in connection

therewith and such Alterations shall only be permitted upon compliance with the

terms, covenants and provisions of this Lease relating to Alterations.

32.12 In the event Tenant contends that Landlord unreasonably withheld its

consent to an assignment of this Lease or a subletting of all or part of the Demised

Premises when Landlord was obligated hereunder not to unreasonably withhold its

consent, such question shall be submitted to arbitration in accordance with
