Re: The building ("Building") located 60 Broad Street, New York, New York (a/k/a 25 Beaver Street / 52-56 New Street / 15-27 Beaver Street)

Dear Mr. Radhakrishnan:

Enclosed please find two (2) original signed copies of the License Agreement ("License") for the referenced buildings, which will enable the Department to perform the Cleaning Work (as defined in the License).

As per my conversation with Russell Pecunies, Esq., please note the following:

All notices regarding access to the Building, scheduling of Cleaning Work, etc., should be addressed to Theresa McGovern, Property Manager (who may be reached at [212] 483-8890) The hours for which the Cleaning Work may be performed are subject to the approval of Licensor. Due to the fact that the only access to setback roofs are through tenant occupied space, no Cleaning Work shall be performed during normal business hours. All scheduling should be made through Ms. McGovern All contractors and subcontractors performing Cleaning Work shall supply insurance certificates to Ms. McGovern prior to commencement of any Cleaning Work, in accordance with the terms of Exhibit B of the License, and naming 60 Broad Street LLC, CRG Management, LLC and Lehman Brothers Holdings Inc. as additional insureds

IN ADDITION, WITH REGARD TO SECTION 4 OF THE LICENSE AND THE CLARIFICATION OF SECTION 4, ATTACHED THERETO, PLEASE BE ADVISED THAT LICENSOR MAKES NO REPRESENTATION THAT ADDITIONAL INSURANCE MONEY OR OTHER SOURCES OF FUNDING ARE AVAILABLE TO REIMBURSE DEP FOR THE CLEANING WORK. ACCORDINGLY, BY COUNTERSIGNING THE LICENSE, DEP FURTHER CLARIFIES AND ACKNOWLEDGES THAT LICENSOR SHALL, UNDER NO CIRCUMSTANCES, BE LIABLE FOR PAYMENT OF THE CLEANING WORK IN THE EVENT SUCH ADDITIONAL SOURCES OF MONEY ARE NOT REASONABLY AVAILABLE TO LICENSOR.

If the terms hereinabove are acceptable, please have the License countersigned and notarized and return one (1) fully executed original copy to my attention. Once I am in receipt of a fully executed copy, Ms. McGovern will arrange the work schedule. If you have any questions, please call me at (212) 582-6688.
