5, The term ” Tax Year” shall mean the twelve (12) month period commencing

July 1 of each year, or such other period of twelve (12) months as mav be duly adopted as the

fiscal year for real estate tax ses in the Citv of New York.

6, (A) Tenant shall pay as additional rent for each Tax Year, all or anv

portion of which shall be within the Term a sum ("Tenant's Pilot Payment”) computed by

multiplying the Pilot Rate Multiple by the excess of the Pilot Square Foot Factor for such Tax

Year oyer the Base Pilot Square Foot Factor. Tenant’s Pilot Payment for each Tax Year shall

be due and payable by Tenant within twenty (20) days after receipt of a demand from

Landlord, based upon the most recent Landlord’s Statement. If there shall be any increase or

decrease in Pilot for any Tax Year, whether d•rmiig or after such Tax Year, Landlord shall

furnish a reyised Landlord’s Statement for such Tax Year. If a La I’s Statement is

furnished to Tenant after the commencement of a Tax Year in respect of which such

Landlord’s Statement is rendered. Tenant shall, within fifteen (15) days after receipt of such

statement, pav to Landlord the amount of anv u lyment of Tenant’s Pilot Payment with

respect to such Tax Year or in the eyent of any oyerpayment. Landlord shall pay to Tenant

the amount of Tenant’s overpayment. If at any time after the date hereof. Taxes or Pilot are

required to be paid (either to the appropriate taxing authorities or to the Ground Lessor or as

escrow payments to the holder of any superior mortgage or the lessor of anv superior lease, in

full or in monthly, quarterly or other installments on any date or dates other than as presently
