(a) The term “person” as used herein shall be defined 2s any natural person doing business alone or associated with another person or entity as 2 parmer, director, officer, (b) The term “entity” as used herein shall be defined as any firm, parmership, permits from or through the City or otherwise transacts business with the City. (c} The term "member" as used herein shall be defined as any person associated with another person or entity 2s a partner, director, officer, principal or employee. 1.7 In addition to and notwithstanding any other provision of this agreement the Cosnmissioner or agency head may in his or her sole discretion terminate this agreement upon not less than three(3) days written notice in the event Contractor fails to promptly report in writing to the Commissioner of Investigation of the City of New York any solicitation of money, goods, requests for future employment or other benefit or thing of value, by or on behalf of any employee of the City or other person, firm, corporation or entity for any purpose which may be related to the procurement or obtaining of this agreement by the Contractor, or affecting the performance of this contract. 12.7 ASSIGNMENT A The Contractor shali not assign, transfer, convey, subiet or otherwise dispose of this Agreement, or of the Contractor's right title, interest, obligations or duties herein, or the Contractor's power to execute such Agreement, or assign, by power of attorney or otherwise, any of its rights to receive moneys due or to become due under this Agreement, unless the prior written consent of the Department shall be obraimed. Any such assignment, transfer, conveyance, sublease or other disposition without such consent should be void. B. In the event that the Contractor assigns, ransfers, conveys, sublets or otherwise disposes of this Agreement as specified in subdivision A, above, without the prior written consent of the Department, the Department shall revoke and annul this Agreement and the Department shall be relieved and discharged from any and all liability and obligations growing out of such Agreement to the Contractor, its assignees, transferees or subleases shall forfeit and lose all moneys theretofore earned under this Agreement, except so much thereof as may be required to pay the Contractor's employees. The provisions of this section shall not hinder, prevent or affect an assignment by the Contractor for the benefit of its creditors made pursuant fo the laws of the State of New York. Cc.
