Dear Joel:

It is agreed between 120 GREENWICH DEVELOPMENT ASSOCIATES, LLC (120) And 1-800-CHUTE-ME (CM) as follows:

I. 120 and CM have entered into a contract for work at 120 Greenwich Street which is described in the attached work orders: 1101-4552; 1101-45.53; 1101-4554; is 1101-4555; 1101-4556; and 1101-4557. The total fee for the above six work orders is $80,000 plus applicable taxes.• The fee shall be paid one third at signing, 1/3 when 60 apartments are completed and 113 at full completion of all work.

II. If there is a conflict between this letter agreement and the six attached work orders, the terms of this letter agreement will prevail.

III. CM will start the morning of December 7, 2001.

Ill. CM will have a minimum of 10 men on the job every day of the week. CM, will clean the hallway supply ducts and all ducts for 60 specific apartments within seveh calendar days after start date. The entire job will be completed by December 31, 2001 days. The specific apartments will be designated by 120 on or prior to start date.

V. CM will clean all HVAC equipment, all ducts and all grates at.120 Greenwich Street. CM will thoroughly clean up the rooms after each duct cleaning.

{ Vi. In addition to all of the items listed in the attached six work orders CM will perform the following work (all labor, materials and insurance are included):

I EQUIPMENT CLEANED WILL INCLUDE ALL APARTMENTS, ALL HALLWAY FLOORS, LOBBY UNIT, ROOF TOP PACKAGE UNIT, GYM, jr ROOFTOP EXHAUS FS SYSTEMS, COMMERCIAL UNITS, ALL BASEMENT UNITS AND ALI, KITCHEN EXHAUSTS.
